PLEASE BE AWARE THAT THESE RULES CONTAIN A DISPUTE RESOLUTION MECHANISM GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND THE "SPONSOR" (DEFINED BELOW) AMONG OTHER THINGS. SUCH MECHANISM PROVIDES THAT ANY RESOLUTION OF CLAIMS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT ON A COLLECTIVE BASIS, AND ONLY IN A CIVIL COURT OF COMPETENT JURISDICTION IN LOS ANGELES, CALIFORNIA. THIS PROVISION CAN BE FOUND IN SECTION 12 BELOW. PLEASE READ THESE PROVISIONS CAREFULLY.

OVERVIEW. Guitar Center is looking for fresh new drumming talent and wants to see you rock your best set! The 2026 Drum Off will take place in four phases: (i) Virtual Competition, from May 1, 2026, through May 22, 2026; (ii) District In-Store Competitions, to be held at twenty-four (24) participating Guitar Center locations on June 20, 2026, and June 21, 2026; (iii) Regional Competitions, to be held at three (3) participating Guitar Center locations on July 16, 2026; and (iv) the Finale Competition to be held on August 20, 2026 at the Fonda Theater in Hollywood, CA. The District In-Store Competitions will feature up to 480 Contestants selected from the virtual submissions (whereby up to 20 Contestants will compete at each of the 24 Guitar Center locations). The highest-scoring Contestant from each of the 24 District Competitions will qualify for the Regionals, where they will compete to secure a position among the top 6 finalists for the Finale. See Section 4 for information on how to enter; and Section 7 for complete prize details.

  1. ELIGIBILITY. To participate in Guitar Center's Drum Off® 2026 contest (the "Contest"), you must be:

    • a legal resident of, and physically located in, one of the 50 United States or the District of Columbia.
    • at least 18 years of age or age of majority at the time of entry (the "Entrant" or "Contestant").
    • IMPORTANT: Only Qualified Amateurs are eligible to participate in the Contest. A "Qualified Amateur" is defined as one who does not (i) earn more than $100,000 adjusted gross per year as a professional musician, based on the prior tax year (supporting documentation may be requested to verify), and/or (ii) is not a party to any endorsement contract that, in the Sponsor's sole determination, conflicts with or competes with any of the Contest Entities. For purposes of clarity, the term "professional musician" does not include teaching music or giving music lessons, and income derived therefrom will not be counted in determining a Contestant's Qualified Amateur status. Prior to participation in any round of the Contest, all Contestants agree to provide a list of all endorsement agreements, both formal and informal, at Sponsor's request. If, in Sponsor's sole determination, any such endorsement conflicts with or competes with a Contest Entity ("Conflicting Endorsement"), Contestants with Conflicting Endorsements shall be disqualified.
    • Entrant cannot be subject to a contract or other agreement that would limit the Sponsor's ability to use Entrant's video submission or exercise the rights contemplated in these Official Rules (e.g., Entrant cannot be signed to a major label record company, have distribution through a major label or its affiliates, or be represented under other limiting contracts).
    • Employees of Guitar Center Stores, Inc. (the "Sponsor"), DW, ZILDJIAN, LUDWIG, PEARL, TAMA, GRETSCH, ROLAND, YAMAHA, EVANS, REMO, PRO-MARK, VIC FIRTH, SABIAN, MAPEX, ORANGE COUNTY DRUM AND PERCUSSION, DRUMEO, and Marden-Kane, Inc. (the "Administrator") (collectively, the "Contest Entities") and each of their affiliates, subsidiaries, authorized dealers, licensees, suppliers, marketing partners, advertising and promotion agencies, , and any other companies engaged in the development, administration, production, fulfillment or distribution of materials for this Contest, and the immediate families (spouse, parents, children, siblings and their respective spouses) and individuals living in the same household, whether related not, of the above, are not eligible to enter or win a prize.
    • Grand Prize winners of any previous Guitar Center Drum-Offs are not eligible to participate in this Contest; however, previous finalists and contestants may participate in this Contest.

    The Contest is void where restricted or prohibited by law and is subject to all applicable federal, state and local laws. Winning a prize is contingent on eligibility verification and compliance with these Official Rules including consenting to authorize and submit to a background check at Sponsor's request. In the event a background check reveals that any potential winner has engaged in conduct that could reflect unfavorably on the Sponsor or any of the Contest Entities, as determined by Sponsor in its sole discretion, the Sponsor reserves the right to disqualify such potential winner. Noncompliance with any of the above eligibility requirements will result in disqualification. Sponsor reserves the right, at any time, to verify eligibility requirements in any manner it deems appropriate.

  2. JUDGING CRITERIA Contestants will be judged by a panel of independent judges who have significant experience in performing drum percussion, teaching drum percussion, drumming/percussion skills, and/or substantial knowledge of and/or experience in the music industry.

    Judging will be based on the following criteria: (i) skills/technique; (ii) groove/time feel; (iii) originality/creativity; (iv) stage presence; and (v) overall performance.

    For District, Regional and the Finale Competitions, each judge will award each Contestant a score between one (1) and ten (10) in each category. Each category will be assigned a percentage as detailed below. The weighted scores will be combined to produce a total score of up to one hundred (100) points.

    The weighted categories are as follows:

    • Skills / Technique (25%) – Technical proficiency, coordination, and control
    • Groove / Time Feel (25%) – Pocket, feel, flow, and musical timekeeping
    • Originality / Creativity (20%) – Unique ideas, style, and musical creativity
    • Stage Presence (10%) – Engagement, confidence, and performance energy
    • Overall Performance (20%) – Overall impact, cohesion, and lasting impression

    For the Finale Competition, the weighted scores from each judge will be combined to determine the final rankings.

    The Contestant with the highest combined score for each round will advance or be declared the winner, as applicable. In the event of a tie in any of the phases of the Contest, the tie-breaking rules in Section 4 will apply.

    By participating in the Contest, all Contestants agree that the decisions of the judges are final and binding.

  3. KEY DATES. The Contest is comprised of four (4) phases which start and end on the dates and times noted below (the "Contest Period"):

    All dates/times are 2026/Eastern Time. The Sponsor's clock is the official timekeeper of this Contest. Sponsor, in its sole discretion, reserves the right to extend the Virtual Competition submission period if not enough qualified Entries are received at the conclusion of the phase. If the Virtual Competition submission period is extended, such notice will be published on the Contest Website (as defined below). All dates are subject to change. All decisions of Sponsor are binding and final.

  4. THE PROCESS.
    (i) Here's How to Enter the Virtual Competition: To get started, you will need to create a 3-minute original, unaccompanied drum solo video highlighting your individual style without any other musical accompaniment ("Drum Solo"). Be sure to review the criteria on which entries will be judged (see Section 2).

    To enter, visit https://drumoff.guitarcenter.com (the "Website") and follow the instructions to register for the Contest.

    Upon completion of your registration, upload your Drum Solo video directly to the Website (collectively, the "Entry" or "Submission"). As part of the submission process, you will be required to select the Guitar Center store location nearest to your residence from the dropdown; this will determine the Guitar Center store location should you be deemed a winner and advance to the District Competition.

    Limit one Entry per person. Entries must be submitted via the Contest Website and comply with all applicable Entry Submission Requirements set forth below.

    Entry Submission Requirements:

    • Video must show the Entrant performing the Drum Solo.
    • If a Contestant does not have access to a drum kit, they can visit a local Guitar Center store where acoustic drum kits and camera stands are available to film/record their Drum Solo. All equipment is subject to availability on a first-come, first-served basis.
    • Video must be the original work of the Entrant created solely by human effort for this Contest. The use of artificial intelligence (AI), machine learning tools, generative AI systems, or similar technologies to create, generate, modify, enhance, or substantially assist in the creation of any portion of an Entry is strictly prohibited. This prohibition includes, but is not limited to, AI-generated visuals, animations, scripts, voiceovers, facial manipulation, deepfakes, or automated editing tools. Any part of Submission created or generated by AI, as determined in Sponsor's sole discretion, will be disqualified and any prize awarded based on such Submission will be forfeited. Sponsor reserves the right to request additional information regarding the creation of any Submission and to disqualify any Entrant that violates this provision.
    • Video must not exceed 3 minutes in length.
    • Entrant must own all rights to the Entry (video/music/song), including, without limitation, the copyright in the musical composition performed, the sound recording and the video.
    • Submission should not contain trademarks, logos or trade dress owned by others, or advertise or promote any brand or product of any kind, without written permission, and does not contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses.
    • Submission must not contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in websites, television, movies or other media or musical material or "samples") without written permission.
    • Submission must not contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, other than the Entrant, without written permission;
    • Entry must not in any way disparage Sponsor or any persons or entities; Entry must not contain offensive words, statements or content (including words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation, or socioeconomic group); Entry must not in any other way violate applicable federal, state, or local laws and regulations; must not contain illegal content; and must be suitable for presentation in a public forum.
    • Submission does not communicate messages or images inconsistent with the positive images and/or goodwill to which the Sponsor and/or Contest Entities wish to associate or otherwise be objectionable or inappropriate as determined by Sponsor.

    Once an Entry is submitted, the Entry is final and may not be modified by Entrant. Material submitted will not be acknowledged or returned. Information collected from Entrant will only be used in a manner consistent with these Official Rules. Entries are subject to the acceptance and acknowledgement of these Official Rules and any other applicable terms of service/privacy policies.

    By participating in the Contest, Entrant represents and warrants that (i) the Entry complies with these Official Rules; (ii) Entrant owns or has obtained all necessary rights in the Entry materials submitted, (iii) Entrant has the right to agree to these Official Rules and to grant the rights referred to in these Official Rules (free from any encumbrances and/or third-party agreements); and (iv) Entrant's participation in the Contest does not violate, infringe or otherwise conflict in any way with any copyright, trademark or any other right of any third party. All Entries become the property of the Sponsor and will not be returned.

    Sponsor reserves the right to disqualify any Entrant that it determines has violated these Official Rules or is believed to have had used AI, voice altering technology or any other method that violates or undermines the intended entry process or breached a representation or warranty at any time. Entries that do not comply with the Official Rules, including, without limitation, the above Entry Submission Requirements, will be disqualified at the Sponsor's sole discretion.

    (i)Fan Upvotes/Sharing: All Entries received during the Virtual Competition Submission Period are subject to review for compliance and/or offensive content at the Sponsor's sole discretion.

    During the Virtual Competition Submission Period, the Contest platform will track each Submission using a proprietary ranking algorithm ("online activity"). Online activity tracking will be measured throughout the Virtual Competition Submission Period. Each Submission may be voted on once per day per registered user (except for the Entrant). Each Submission which receives 5 or more Votes during the Virtual Competition Submission Period will be entered into the judging pool for review by the judging panel.

    Any attempt by an Entrant to obtain upvotes by any fraudulent or inappropriate means, including without limitation, utilizing automated programs or any other methods that influence or undermine a fair ranking process, by creating multiple email accounts, utilizing paid advertising or offering inducements to members of the public, will void the upvotes and Entrant may be disqualified as determined by Sponsor in its sole discretion.

    At the conclusion of the Submission Period, the top ranked Submissions for each of the 24 Guitar Center District store locations will be judged using the Judging Criteria set forth in Section 2 to determine up to twenty (20) winners from each location that will advance to the District Competitions. Sponsor reserves the right to review and judge additional Submissions beyond the top 20 for any District Competition location. In the event an insufficient number of qualified Entries are received for a Guitar Center store location, Sponsor reserves the right to select a winner from an alternative location, at its sole discretion.

    Potential winners who are selected to compete in the District In-Store Competitions will be notified via email in accordance with the procedures outlined in Section 5. If a winner is disqualified or is unable to compete in a District In-Store Competition, then the Submission with the next highest score for that location will be notified, time permitting. If Guitar Center elects, in its sole discretion, that procedure will be repeated until a total of 480 winners (20 winners per store location) are confirmed.

    (ii) District Competitions: Each of the 24 Guitar Center store locations will host up to 20 Contestants in a District Competition which will occur over a 2-day period on June 20, 2026, and June 21, 2026.

    The order in which Contestants perform at a District Competition will be determined by a random drawing held thirty (30) minutes prior to the start of the competition (The "Random Drawing"). ALL CONTESTANTS MUST ARRIVE TO THE CORRECT GUITAR CENTER LOCATION AND BE PRESENT FOR THE RANDOM DRAWING TO BE ELIGIBLE. ALL CONTESTANTS AGREE THAT THE OFFICIAL TIME SHALL BE DETERMINED BY THE ONSITE GUITAR CENTER ACTING MANAGER AND SHALL BE BINDING. ANY CONTESTANT WHO IS NOT PRESENT FOR THE RANDOM DRAWING WILL BE DISQUALIFIED AND WILL NOT BE ELIGIBLE TO COMPETE IN THE COMPETITION. Each Contestant will have three (3) MINUTES to perform on an acoustic drum set. SNARE DRUM, DRUMSTICKS, BASS DRUM PEDAL and DRUM THRONE are the only personal pieces of gear Contestants may use during their performance. Contestants will compete on a 5-piece drum set complete with cymbals, hardware, and a drum throne. Contestant may replace any of the following items with their own personal equipment (SNARE DRUM, BASS DRUM PEDALS AND/OR DRUM THRONE only). The brand and model of the drum set, hardware, throne and cymbals will vary by region. Each Contestant will be judged according to the criteria described in Section 2. THE CONTESTANT WITH THE HIGHEST FINAL SCORE FROM EACH DISTRICT COMPETITION STORE LOCATION WILL ADVANCE TO REGIONALS, PROVIDED THAT THE CONTESTANT MEETS THE ELIGIBILITY REQUIREMENTS SET FORTH IN SECTION 1 AND SATISFIES THE CONDITIONS SET FORTH IN THESE OFFICIAL RULES. A tie for the highest Final Score and/or runner-up score will result in an additional round of competition ("Tie Breaker"), in which the tied Contestants will have two (2) additional minutes to perform. The Tie Breaker will be judged as described in Section 2 to break the tie.

    Potential winners from the District Competitions who are selected to compete in a Regional Competition will be notified via email in accordance with the procedures outlined in Section 5. If a winner is disqualified or is unable to compete in a Regional Competition, then the Contestant with the next highest score will be notified, time permitting; Sponsor reserves the right to select an alternate from any location, at its sole discretion.

    (iii) Regional Competitions: One winner from each District Competition store location will be invited to compete in a Regional Competition. Regional Competitions will feature a maximum of eight (8) Contestants across three (3) select Guitar Center locations (Hollywood, CA, Nashville, TN, and Union Square, NY), with winner placement determined solely by the Sponsor.

    The order in which Contestants perform at a Regional Competition will be determined by a random drawing held thirty (30) minutes prior to the start of the competition (The "Random Drawing"). ALL CONTESTANTS MUST ARRIVE TO THE REGIONAL COMPETITION LOCATION AND BE PRESENT FOR THE RANDOM DRAWING TO BE ELIGIBLE. ALL CONTESTANTS AGREE THAT THE OFFICIAL LOCATION, DATE AND TIME SHALL BE DETERMINED BY THE SPONSOR AND SHALL BE BINDING. ANY CONTESTANT WHO IS NOT PRESENT FOR THE RANDOM DRAWING WILL BE DISQUALIFIED AND WILL NOT BE ELIGIBLE TO COMPETE IN THE REGIONAL COMPETITION. Each Contestant will have three (3) minutes to perform on an acoustic drum set. SNARE DRUM, DRUMSTICKS, BASS PEDAL and DRUM THRONE are the only personal pieces of gear Contestants may use during their performance. Contestants will compete on a 5-piece drum set complete with cymbals, hardware, and a drum throne. Contestant may replace any of the following items with their own personal equipment (SNARE DRUM, BASS PEDALS AND/OR DRUM THRONE only). The brand and model of the drum set, hardware, throne and cymbals may vary by region. Each Contestant will be judged according to the criteria described in Section 2. THE TWO (2) CONTESTANTS WITH THE HIGHEST FINAL SCORES IN EACH OF THE REGIONAL COMPETITIONS WILL BE DEEMED FINALISTS AND WILL ADVANCE TO THE FINALE, PROVIDED THAT THE CONTESTANT MEETS THE ELIGIBILITY REQUIREMENTS SET FORTH IN SECTION 1 AND SATISFIES THE CONDITIONS SET FORTH IN THESE OFFICIAL RULES. A tie for the highest Final Score and/or runner-up score will result in an additional round of competition ("Tie Breaker"), in which the tied Contestants will have two (2) additional minutes to perform. The Tie Breaker will be judged as described in Section 2 to break the tie.

    Potential Finalists from the Regional Competition will be required to undergo a background check. If a Finalist is disqualified or is unable to compete in the Finale Competition, then the next highest-ranked Contestant overall from the Regionals will be notified, time permitting.

    (vi) Finale: Six (6) Finalists will be invited to compete in the Finale Competition. The Finale Competition will be hosted at the Fonda Theater in Hollywood, California.

    The order in which Finalists perform at the Finale Competition will be determined by a random drawing held thirty (30) minutes prior to the start of the competition (The "Random Drawing"). ALL FINALISTS MUST ARRIVE AT THE FONDA THEATER IN HOLLYWOOD AND BE PRESENT FOR THE RANDOM DRAWING TO BE ELIGIBLE. ALL FINALISTS AGREE THAT THE OFFICIAL LOCATION, DATE AND TIME SHALL BE DETERMINED BY GUITAR CENTER AND SHALL BE BINDING. ANY FINALIST WHO IS NOT PRESENT FOR THE RANDOM DRAWING WILL BE DISQUALIFIED AND WILL NOT BE ELIGIBLE TO COMPETE IN THE FINALE. Each Finalist will have five (5) minutes to perform. SNARE DRUM, DRUMSTICKS, BASS PEDAL and DRUM THRONE are the only personal pieces of gear Contestants may use during their performance. Contestants will compete on a 5-piece drum set complete with cymbals, hardware, and a drum throne. Contestants may replace any of the following items with their own personal equipment (SNARE DRUM, BASS PEDALS AND/OR DRUM THRONE only). Each Contestant will be judged according to the criteria described in Section 2. THE CONTESTANT WITH THE HIGHEST FINAL SCORE IN THE FINALE COMPETITION WILL BE NAMED THE GRAND PRIZE WINNER OF THIS CONTEST, PROVIDED THAT THE CONTESTANT MEETS THE ELIGIBILITY REQUIREMENTS SET FORTH IN SECTION 1 AND SATISFIES THE CONDITIONS SET FORTH IN THESE OFFICIAL RULES. A tie for the highest Final Score will result in additional deliberation by the judges ("Tie Breaker"), where the performances by all tied Contestants receiving such highest Final Score will be re-evaluated, and the judges will decide on the ranking of such Contestants' performances. The Tie-Breaker will be judged in accordance with the criteria in Section 2 and will be based on such Contestant's performances in the Finale Competition only.

  5. WINNER NOTIFICATION. Prize award is subject to verification of eligibility. A background check will be required in order to advance to the Finale Competition. Participation in this Contest constitutes Entrant's permission for Sponsor to conduct such background check. Sponsor reserves the right (at its sole discretion) to disqualify a potential winner based on the results of the background check or for failure to properly authorize such check.

    Potential District Competition winners will be notified by representatives of Guitar Center via email with an invitation to attend a District Competition and must follow the instructions within the email to accept or decline the invitation by the deadline indicated in the email notification. Failure to respond to a notification as noted above will result in disqualification and Sponsor will have no further obligation to that Entrant. Potential winners must be available to attend a District Competition at their assigned location on either June 20, 2026 or June 21, 2026.

    Potential Regional Competition winners will be notified via phone and/or email by the Administrator. Potential winners will be required to complete, sign and return an affidavit of eligibility and liability release, and where legal, a publicity release, an IRS Form W-9 to include potential winner's Social Security Number, which will be used only for the purpose of reporting the winner's prize earnings to the Internal Revenue Service, and any other requested documentation (collectively, the "Documents") whereby potential winner (1) attests that they meet the eligibility requirements and comply with the Official Rules; (2) waives liability against the Contest Entities; (3) consents to undergo and complete a confidential background check; and (4) agrees to attend and participate in a Regional Competition in either Hollywood, CA, Nashville, TN or Union Square, NY at a Sponsor-specified date, time and location. The Documents must be returned to Marden-Kane by the date stated in the notification email, or the prize will be forfeited, and an alternate winner will be notified, time permitting. If a potential winner (i) cannot be contacted after a reasonable attempt has been made by the Administrator (as determined in the Sponsor's sole discretion); or (ii) fails to timely return the required paperwork without alteration and in the form presented by the Administrator; (iii) refuses the prize; (iv) or declines to undergo a background check, or (v) the prize or prize notification is rejected or returned as undeliverable, then such potential winner will be disqualified and forfeits all rights to be deemed a winner in the Contest. Upon prize forfeiture, no compensation will be given, and Sponsor will have no further obligation to that Entrant. Additionally, if the background check reveals that a potential winner has engaged in conduct that could damage the reputation of Sponsor or any of the Contest Entities, as determined by Sponsor in its sole and absolute discretion, Sponsor may disqualify such Entrant. If a potential winner is disqualified for any reason, a runner-up, determined using the process described above, may advance to the next phase in Sponsor's sole discretion. Upon disqualification the Sponsor will have no further obligation to that Entrant.

    An Entrant will not be deemed a winner in any phase of the Contest unless and until the Entrant's eligibility has been verified, all requirements determined by the Sponsor in order to proceed to the next phase of the Contest have been fulfilled, and the Entrant has been notified that the acceptance and verification process is complete.

    IMPORTANT: Confirmed winners are required to participate in all phases of the Contest and must be able to travel to the Sponsor-specified location on the dates indicated herein or as otherwise specified by the Sponsor.

  6. TRAVEL: NO TRANSPORTATION OR ACCOMMODATIONS ARE INCLUDED, UNLESS SPECIFICALLY SET FORTH HEREIN.

    District Competitions: Qualifying Virtual Competition winners invited to compete in any District Competition are responsible for their own travel to that District Competition. Any and all transportation and accommodations associated with participation in a District In-Store Competition will not be provided by Sponsor and each winner will be solely responsible for paying all costs and expenses not expressly set forth herein, including without limitation, accommodations and transportation to and from the District Competition location.

    Regional Competitions: District Competitions winners who are invited to compete in any Regional Competition are responsible for their own travel to the assigned Regional Competition, unless the distance from the location where the District Competition winner resides is more than 300 miles from the corresponding Regional Competition. In such a case, Guitar Center shall provide at its discretion: (i) round trip coach air transportation for the qualifying winner from the major commercial airport nearest qualifying winner's home to the major commercial airport nearest to the corresponding Regional Competition; and/or (ii) 2 nights' hotel accommodations (one room/double occupancy) at a hotel in the city where the corresponding Regional Competition takes place. All other expenses associated with travel not otherwise specified herein, including, but not limited to food, gas, travel insurance, taxes, gratuities and ground/airport transport are the sole responsibility of the winner. Airline and accommodations shall be determined by Sponsor, in its sole discretion.

    Finale Competition: Regional Competition winners who are invited to compete in the Finale Competition will be provided with the following: (i) round trip coach airfare for each Regional Competition winner from the major commercial airport nearest the Regional Competition winner's home to the major commercial airport nearest to the Finale Competition location, and (ii) 2 nights' hotel accommodations (one room/double occupancy) at a hotel in the city where the Finale Competition takes place. All expenses associated with travel not otherwise specified herein, including, but not limited to food, travel insurance, taxes, gratuities and ground/airport transport are the sole responsibility of the Regional Winner. Airline and accommodations shall be determined by Sponsor, in its sole discretion.

    If travel is provided, it must take place on dates specified by Sponsor for the specified event or the prize will be forfeited. Travelers must possess required travel documents, i.e., valid government-issued photo ID.

  7. AVAILABLE PRIZES AND APPROXIMATE RETAIL VALUES ("ARV"). All decisions regarding all components of a prize are at the Sponsor's and its agents' absolute and sole discretion.

    There is no monetary value associated with the brand endorsement portion of the Grand Prize, which is subject to the respective brand's terms and conditions. Winner will be required to execute additional paperwork and/or agreements as required for the endorsement as determined by the respective brand.

    The ARVs are subject to price fluctuations in the consumer marketplace and are based on the fair market value of the prize at the time the Official Rules are published. Winner is not entitled to any difference between the ARV stated herein, and the value of the prize at the time the prize is awarded. All applicable federal, state and local taxes on the prize, and any expenses relating to the acceptance/use of the prize not specified herein, are the sole responsibility of the winner. All expenses and incidentals not specifically mentioned herein are not included and are solely the responsibility of each winner, including but not limited to purchases, meals, beverages, airport transport, service fees, medical services, personal expenses, telephone calls, insurance, taxes, gratuities and other costs. The value of the prize is taxable as income, and winner will receive an IRS Form 1099 for the total value of all prizes won as stated herein. All prize details not specified in these Official Rules will be determined by the Sponsor in its sole discretion. Prize consists of only the items specifically listed as part of the prize.

    No substitutions, cash equivalents or transfer of prize permitted except at the sole discretion of the Sponsor, who reserves the right where lawful to substitute a prize or prize component with one of comparable or greater value. Prize may not be sold, bartered or exchanged by winner. Sponsor is not responsible for damage or loss of any portion of a prize after it has been delivered to a confirmed winner. Sponsor makes no warranties and hereby disclaims any and all warranties, expressed or implied, concerning any prize furnished by third parties in connection with the Contest.   8. CONDITIONS OF ENTRY. By participating, Entrants agree to comply with these Official Rules, including all eligibility requirements. Sponsor reserves the right to disqualify Entrants who violate these Official Rules or interfere with this Contest in any manner. Any attempt by an Entrant to enter the Contest and/or obtain more than the stated number of entries permitted herein by using multiple/different email addresses, identities, registrations and logins, or any other method, will void that Entrant's entries, and that Entrant may be disqualified. Use of any automated entry software is prohibited. Electronically reproduced, illegible, incomplete or inaccurate entries are void. Acceptance of a prize constitutes permission for the Sponsor and its agencies to use winner's name, likeness, photograph, and/or hometown and state for purposes of advertising and trade without further review, notice, approval, consideration or compensation to the winner or any third party, in any media, worldwide, unless prohibited by law. Entrant understands that their Submission will not place Sponsor under any obligation and that Sponsor may use the content without any restriction, compensation or notification to Entrant. Entrant also acknowledges that other Entrants may submit Entries that are similar to the Entrant's Submission and that Entrant will not be entitled to any compensation or right to negotiate with Sponsor or its agents with regard to these similarities. Participation in a Competition is subject to the restrictions and requirements of the venue and the organizers, as applicable. The Released Parties (as defined in Section 9 below) and/or any other relevant party reserve the right to revoke the full or partial prize, and/or remove or deny participation to any winner who may be deemed to be a safety risk or who engages in a non-sportsman like or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person during a Competition.

  9. GENERAL. Sponsor, Administrator, Prize Provider(s), Social Media Platforms as defined below, the Contest Entities and their respective parent companies (as applicable), affiliates, subsidiaries, divisions, successors, assigns, representatives, advertising and promotion agencies, and all of their officers, directors, shareholders, employees and agents (collectively "Released Parties") are not responsible for incorrect or inaccurate transcription of entry information, or for any human or printing error, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any network, computer equipment or software, the inability to access any online service or website, inability to submit the online entry form, or any other error or malfunction, or any injury or damage to Entrant's or any other person's computer or mobile device related to, or resulting from, participation or downloading any materials in this Contest, or for late, lost, stolen, illegible, misdirected or damaged Entries. Released Parties assume no responsibility for undeliverable email messages resulting from any form of active or passive email filtering by a user's Internet service provider and/or email client or for insufficient space in user's email account to receive email.

    Caution: Any attempt by an Entrant or any other individual to deliberately damage any online service or website, or undermine the legitimate operation of the Contest, may be a violation of criminal and civil laws, and should such an attempt be made, the Sponsor reserves the right to seek damages and/or other remedies from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision.

  10. INDEMNIFICATION; CANCELLATION OF CONTEST. Entrants agree to release, indemnify and hold harmless the Released Parties from any and all liability, loss, harm, damage, injury, cost or expense whatsoever, including without limitation, property damage, personal injury and/or death, which may occur in connection with participation in the Contest, or possession, acceptance and/or use or misuse of a prize, merchandise delivery, or participation in any Contest-related activity, and for any claims based on publicity rights, defamation or invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action, arising out of participation in the Contest. Sponsor reserves the right to cancel or modify the Contest if it cannot be executed as planned for any reason or event beyond Sponsor's control, including, but not limited to, a force majeure event or occurrence (e.g., war, riots, terrorism, civil unrest, strikes, blackouts, supply shortages, order of governmental authority, etc.), an "act of God" (e.g., natural disaster, etc.) or an unforeseeable health event (e.g., pandemic or epidemic) making it inadvisable, impractical, impossible or illegal, or which materially affects a party's ability to perform its obligations under this agreement in whole or in part, or if fraud, technical failures, human error or any other causes beyond the reasonable control of the Sponsor impairs the integrity or proper functioning of the Contest as determined by Sponsor in its sole discretion. In no event will more than the stated number of prizes be awarded.

  11. LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES. To the maximum extent permitted by law, in no event will the Released Parties be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of your access to and use of the website and/or participation in the Contest, downloading from and/or printing material downloaded from any websites associated with the Contest. Without limiting the foregoing and to the maximum extent permitted by law, this Contest and all prizes are provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages, or exclusion of implied warranties, so some of the above limitations or exclusions may not apply to you. Check your local laws for any restrictions or limitations regarding these limitations or exclusions.

    By entering the Contest, Entrants acknowledge they are familiar with the provisions of California Civil Code Section 1542, which provides as follows:

    A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER, MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.

    Accordingly, by entering the Contest, Entrants (on their behalf and on behalf of their heirs, executors, administrators, personal representatives, predecessors, successors and assigns of any of the foregoing, and all other persons and entities asserting rights of, or acting on behalf of, the Entrant) hereby waive and relinquish any right or benefit which the Entrant, designated agent or such persons has, have or may have against the Sponsor and the other Released Parties under Section 1542 of the Civil Code of the State of California, or under any similar statutory or common law of any other jurisdiction to the full extent that any such person may lawfully waive such rights and benefits pertaining to the releases set forth in these Official Rules, the website, the Contest or any applicable privacy policy.

  12. DISPUTES; GOVERNING LAW; FORUM. Each Entrant agrees that (i) any and all disputes, claims and causes of action arising out of or in connection with this Contest, or any prizes awarded, shall be resolved as provided herein; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys' fees; and (iii) under no circumstances will the Entrant be permitted to obtain awards for, and the Entrant hereby waives all rights to claim punitive, incidental and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. CLASS ACTIONS AND ANY OTHER CONSOLIDATED, COLLECTIVE OR REPRESENTATIVE ACTIONS ARE NOT PERMITTED, AND YOU, THE ENTRANT, AGREE TO GIVE UP THE ABILITY TO PARTICIPATE IN ANY SUCH ACTION. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT YOU WILL NOT BE A MEMBER OF ANY PUTATIVE OR ACTUAL CLASS IN A CLASS ACTION BROUGHT BY ANYONE ELSE, NOR WILL YOU SEEK TO BECOME A CLASS REPRESENTATIVE. CLASS ACTIONS, PRIVATE ATTORNEY GENERAL ACTIONS AND OTHER CONSOLIDATED ACTIONS ARE NOT ALLOWED. DISPUTES REGARDING THE ENFORCEABILITY, REVOCABILITY OR VALIDITY OF THE CLASS ACTION WAIVER MAY BE RESOLVED ONLY BY A CIVIL COURT OF COMPETENT JURISDICTION IN LOS ANGELES, CALIFORNIA, AND NOT BY AN ARBITRATOR.

  13. PUBLICITY. By participating, where permitted by law, the Entrant agrees to the use of their personal information in accordance with Sponsor's Privacy Policy and the respective privacy policies of the Contest Entities. The Entrant, by accepting a prize, consents to the use of their name, photograph, voice, videotape and likeness for purposes of advertising and publicity in all media worldwide, including a winners list or other online winner announcement, without further compensation or notice. Entrants producing and submitting Submissions and materials in connection with this Contest do so without compensation and at their own risk. Sponsor reserves the right to use any Entry, response or comment made by an Entrant, in whole or in part, in any and all media now known or hereafter discovered, without further compensation or notice. Grand Prize Winner's participation in any photographs, audio or video recordings, workshops, performances or other events associated with the Contest shall be owned by Guitar Center, Inc. who may exploit, edit, modify, and distribute the recordings and photographs and all elements of such participation, including, without limitation, the names and likenesses of any persons, locations and content embodied therein, in any and all media now known or hereafter devised, in any language, throughout the world, in perpetuity and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation to any winner or any third party.

  14. SEVERABILITY. If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
